This Referral Program Terms and Conditions document (the “Agreement”) outlines the terms under which Datron Dynamics Inc. (the “Company”) offers its Referral Program (the “Program”) to individuals (the “Referrer”) who participate by referring potential customers to the Company.

1. ELIGIBILITY

1.1 The Program is open to individuals legally capable of entering into binding contracts in their respective jurisdictions.

1.2 Employees of the Company, their immediate family members, and those residing in the same household are not eligible to participate unless explicitly authorized in writing.

2. REFERRAL PROCESS

2.1 The Referrer must submit referrals through the designated method specified by the Company, such as online form/email/unique referral link.

2.2 The referred customer (the “Referred Customer”) must: (a) Be a new customer to the Company. (b) Successfully complete a qualifying transaction as defined in Section 3.

3. QUALIFYING TRANSACTIONS

3.1 A qualifying transaction is defined as a purchase of Company’s products that meet the following conditions: (a) The purchase of a new or used Datron machining system (b) The transaction is completed within 12 months of the referral date. (c) The transaction takes place in North America.

3.2 The Company reserves the right to verify all transactions and confirm their eligibility before issuing any Payment.

3.3 Any active existing lead, account, contact or open opportunities with Datron do not qualify. DATRON will notify the referrer within 5 days of receiving the lead if the referral is eligible.

4. REFERRAL REWARD

4.1 For each qualifying transaction, the Referrer will receive a reward as outlined below: (a) $1500 for a qualified neo or used machine sale. $3,000 for a qualified new M8, ML, MX or dispensing machine sale.

4.2 Rewards will be issued within 30 days after the Referred Customer’s qualifying transaction has been verified and the machine is installed (Accepted).

4.3 The Referrer is solely responsible for any taxes or fees associated with the receipt of rewards.

5. LIMITATIONS AND CONDITIONS

5.1 The Referrer may not: (a) Engage in spamming, fraudulent, or unethical practices to solicit referrals. (b) Misrepresent the Company or its products and services.

5.2 There is no obligation to award future machine sales or any subsequent consumables to account for referral.

5.3 If a Referred Customer is referred by multiple Referrers, the reward will be granted to the Referrer who first submitted the referral, as determined by the Company’s records.

6. TERMINATION AND MODIFICATION

6.1 The Company reserves the right to modify, suspend, or terminate the Program at any time, with or without notice.

6.2 Any changes to the Program will not affect rewards already earned for completed and verified qualifying transactions.

7. LIABILITY

7.1 The Company is not responsible for any incorrect or inaccurate information provided by the Referrer or for technical failures that may affect the participation or functioning of the Program.

7.2 The Company’s liability in connection with this Program is limited to the value of the rewards owed to the Referrer.

8. GOVERNING LAW

8.1 This Agreement shall be governed by and construed in accordance with the laws of NH, USA.

8.2 Any disputes arising from this Program shall be resolved in accordance with the laws and jurisdiction of NH, USA.

9. ACCEPTANCE OF TERMS

9.1 By participating in the Program, the Referrer acknowledges and agrees to these terms and conditions.
